This Acceptable Use Policy ("AUP") governs the use of the software platform and related services (the "Platform") provided by Propper, LLC ("Propper"). This AUP applies to every customer of Propper (the "Customer") and to every person who accesses the Platform through a Customer's instance, including the Customer's administrators, employees, contractors, traders, and end users (collectively, "Users").

The Customer is responsible for ensuring that its Users comply with this AUP. A violation of this AUP by a User is deemed a violation by the Customer. This AUP forms part of the Master Services Agreement between Propper and the Customer. Capitalized terms not defined here have the meanings given in that agreement.

General Principles

1.1Lawful use only. The Platform may be used only for lawful purposes and in accordance with the Master Services Agreement, this AUP, and all applicable laws and regulations.

1.2Business operation. The Customer may use the Platform solely for the operation of its own proprietary trading firm business, and not for any other purpose.

1.3Responsibility. The Customer is solely responsible for its business, its Users, all activity occurring under its instance of the Platform, and all content and data submitted through it.

Prohibited Uses

Users shall not use the Platform to:

2.1Illegal activity. Engage in, promote, or facilitate any illegal activity, including fraud, money laundering, terrorist financing, market manipulation, or the evasion of any law or regulation.

2.2Deception. Mislead, defraud, or deceive any person, including the Customer's own traders, through false representations about the Platform, trading conditions, evaluations, or payouts.

2.3Unlicensed regulated activity. Conduct any activity that requires a governmental license, registration, or authorization that the Customer or User does not hold. The Customer is solely responsible for determining which licenses or authorizations its business requires in each jurisdiction in which it operates or accepts Users.

2.4Infringement. Infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other rights of any person.

2.5Harmful content. Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, or malicious, or that contains viruses, malware, or other harmful code.

Restricted Jurisdictions and Sanctions

3.1Sanctions compliance. The Platform is operated by a United States company and is subject to United States export control and sanctions laws, in addition to other applicable sanctions regimes, including those of the European Union and the United Kingdom.

3.2Prohibited persons and territories. The Customer shall not offer access to the Platform to, and shall not knowingly permit use of the Platform by, any person or entity that is:

  • (a)located, organized, or ordinarily resident in a country or territory that is subject to comprehensive sanctions administered by the United States Office of Foreign Assets Control (OFAC), including, as of the date of this AUP, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions; or
  • (b)designated on any applicable sanctions or restricted party list, including the OFAC Specially Designated Nationals and Blocked Persons List, the EU Consolidated List, and the UK Sanctions List.

3.3Screening. The Customer is responsible for implementing appropriate measures, including geographic restrictions and identity verification, to prevent access by prohibited persons and from prohibited territories.

3.4Notification and action. If the Customer becomes aware of any use of the Platform in violation of this Section 3, it shall immediately terminate such access and notify Propper. Propper may block access from restricted territories or by restricted persons at any time without liability.

Security and Integrity of the Platform

Users shall not:

4.1Unauthorized access. Access or attempt to access any account, instance, system, or data without authorization, or circumvent any authentication, security, or access control measure.

4.2Interference. Interfere with or disrupt the integrity, performance, or availability of the Platform, including through denial-of-service attacks, flooding, or the introduction of malicious code.

4.3Probing and scraping. Probe, scan, or test the vulnerability of the Platform without Propper's prior written consent, or scrape, harvest, or extract data from the Platform through automated means outside of functionality provided for that purpose.

4.4Reverse engineering. Copy, modify, reverse engineer, decompile, or disassemble the Platform or attempt to derive its source code, except to the extent such restriction is prohibited by applicable law.

4.5Circumvention of limits. Circumvent or attempt to circumvent usage limits, user counting, billing mechanisms, or feature restrictions.

4.6Manipulation of data. Manipulate, falsify, or tamper with price data, trading records, evaluation results, or any other data on the Platform, whether by technical means or otherwise.

AI Assistant Fair Use

5.1Purpose. The Platform includes an AI assistant intended to support Users with questions about the Platform, the Customer's rules and challenges, trading performance, and administrative tasks.

5.2Usage plans. Use of the AI assistant is subject to the usage volume associated with the Customer's subscription or AI plan. Higher usage volumes may be available under paid plans as described in the Service Description or as agreed with Propper.

5.3Fair use. The AI assistant may not be used:

  • (a)for purposes unrelated to the Platform or the Customer's proprietary trading firm business, including as a general-purpose AI service;
  • (b)to generate content that violates this AUP;
  • (c)to attempt to extract, jailbreak, or manipulate the underlying models, system prompts, or configuration; or
  • (d)in an automated, scripted, or excessive manner that materially exceeds normal usage patterns.

5.4Automated enforcement. Propper may monitor aggregate usage of the AI assistant and apply automated fair use enforcement. Where usage by an individual User materially exceeds fair use, Propper may issue an automated warning to that User and, if excessive usage continues, limit that User's access to the AI assistant. In such cases, both the affected User and the Customer are notified. Limits are applied per User where possible and do not affect the Customer's other Users or the remainder of the Platform.

5.5No advice. Output of the AI assistant is generated automatically and does not constitute financial, investment, legal, or trading advice. Propper does not guarantee the accuracy or completeness of AI assistant output.

Resource Usage

6.1Fair infrastructure use. The Customer shall not use the Platform in a manner that places an unreasonable or disproportionate load on Propper's infrastructure relative to normal use by comparable customers.

6.2Rate limits. Propper may apply reasonable technical rate limits to protect the stability and performance of the Platform for all customers.

Enforcement

7.1Investigation. Propper may investigate suspected violations of this AUP and may involve, and cooperate with, law enforcement authorities where it considers this appropriate.

7.2Measures. In the event of a violation of this AUP, Propper may, depending on the severity:

  • (a)issue a warning;
  • (b)require the Customer to remedy the violation within a stated period;
  • (c)remove or disable access to offending content;
  • (d)limit, suspend, or terminate access for individual Users; or
  • (e)suspend or terminate the Customer's access to the Platform in accordance with the Master Services Agreement.

Where reasonably practicable, Propper will notify the Customer before taking measures, but Propper may act immediately where necessary to protect the Platform, other customers, or third parties, or to comply with law.

7.3No liability. Propper is not liable for any damages resulting from enforcement measures taken in good faith under this AUP.

7.4Reporting. Suspected violations of this AUP can be reported to [email protected].

Changes

8.1Updates. Propper may update this AUP from time to time in accordance with the Master Services Agreement. Material updates are notified by e-mail or through the Platform. Continued use of the Platform after the effective date of an update constitutes acceptance.
